Payment made to Epstein LaRue (“Epstein”) will be considered an agreement to the following terms and conditions:

For each candidate that Epstein provides leads to, a referral fee of $750 will be charged upon successful completion of the travel nursing assignment.  The travel company (“Company”) will receive an invoice at the beginning of a travel nursing assignment that will be due in 13 weeks. 

The Company shall submit to Epstein all advertising and editorial materials in order for advertising to start. Assistance will be provided as needed.

All advertisements, logos, designs, or copyrighted material (“Proprietary Information”) which represent the creative effort of the Company and/or the utilization of creativity, illustrations, labor, composition, or material furnished by the Company are and will remain the property of the Company, including all rights of copyright therein. The Company understands and agrees that it cannot authorize reproductions, in whole or in part, of any such Proprietary Information.

 Company assumes all liability for content of advertising and agrees to hold harmless and will indemnify Epstein from all claims, losses, judgments, and damages arising from therein. Liability for typographical errors, wrong insertions, late publications, and/or non-publication, non-performance due to Acts of God, as well as all other matters sponsorship might raise relevant to this contract is limited to the amount charged to the Company by Epstein for the applicable sponsorship. Claims for an allowance for such matters must be made within seven (7) days of the matter's first occurrence. Each party heretofore shall be excused from liability to perform its obligations hereunder where such failure results from delays caused by Acts of God, fires, floods, strikes, work stoppages, controls or regulation of federal, state, or local governments, or other causes beyond its reasonable control.

Either party reserves the right to cancel this Agreement at any time for any reason.  Upon termination of this Agreement, Epstein must remove and return any Proprietary Information to Company within forty- eight (48) hours.

In the event Epstein must employ an attorney to collect sums due hereunder or to enforce compliance by Company with any of the terms of this Agreement, the Company shall pay Epstein’s attorney’s fees and any other costs incurred by Epstein in connection with any legal actions and appeals thereof.

Company shall indemnify Epstein and hold Epstein harmless from any and all loss, cost, expense or damages on account of any and all manner of claims, demands, actions and proceedings that may be instituted against Epstein on grounds alleging that any advertisement submitted hereunder by or on behalf of Company violates any copyright or any proprietary right of any person, or that it contains any matter that is libelous or scandalous, or invades any person’s right to privacy or other personal rights. Company agrees at Company’s own expense, to promptly defend and continue the defense of any such claim, demand, action or proceeding that may be brought against Epstein limited to the causes of action mentioned above, provided that Epstein shall promptly notify Company with respect thereto within seven (7) days notice of the claim. The Company shall reimburse Epstein for any amount paid by Epstein in settlement of claims or in satisfaction of judgments obtained by reason of publication of such advertising copy, together with all expenses incurred in connection therewith, including but not limited to, reasonable attorney’s fees and court costs.  Epstein agrees not to settle any claims without the prior written consent of Company.  Once Company is put on notice of any such claim, Company reserves the right to choose defense counsel.

This Agreement shall be construed under the laws of the State of Idaho. Venue for any legal actions regarding this Agreement shall be in the State of Idaho.

Prices do not include tax. In the event that any federal, state, or local taxes are imposed on the creation of the online advertising or on the sale of online advertising, such taxes shall be assumed and paid by Company. Anyone purchasing advertising in the State of Idaho will be liable for Idaho State taxes.
